Office of the Registrar of Companies Issues Final Reminder: No Extension Beyond June 30, 2025

The Office of the Registrar of Companies (ORC) in Ghana has issued a press release serving as a final reminder to all registered business owners, company directors, secretaries, and partners of incorporated partnerships regarding the upcoming deadline for filing Annual Returns and renewing Business Names.

According to the press release dated May 29, 2025, the deadline for compliance is June 30, 2025, and there will be no extension beyond this date.

The ORC had previously announced this deadline in a press release on April 14, 2025, urging all defaulting companies and businesses to comply.

Companies that fail to file their Annual Returns with financial statements will be deemed non-compliant and will be liable to pay a penalty of One Thousand Ghana Cedis (GHC 1,000.00) in addition to the filing fees.

The ORC is emphasizing the importance of compliance with these statutory obligations within the specified timeframe to avoid the risk of being delisted from the official register.

The press release is signed by Mrs. Maame Samma Peprah, the Acting Registrar of Companies, serves as a reminder to all businesses to prioritize their compliance obligations to avoid any potential consequences.

Businesses are encouraged to take immediate action to ensure compliance with the ORC’s requirements and avoid any potential penalties.
